Common use of By ICOS Clause in Contracts

By ICOS. ICOS agrees to indemnify, defend and hold LICENSEE and its directors, officers, employees and agents harmless from and against any and all liabilities, claims, demands, expenses (including, without limitation, attorneys and professional fees, other costs of litigation and including the costs of establishing the right to indemnify), losses or causes of action (each, a “Liability”) arising out of or relating in anyway to breach of any of ICOS’s representations and warranties made under Section 7.1 of this Agreement.
