Common use of By-laws; Resolutions Clause in Contracts

By-laws; Resolutions. All action on the part of the Borrower, each Subsidiary Guarantor and the Trust necessary for the valid execution, delivery and performance by the Borrower, the Subsidiary Guarantors and the Trust of this Agreement and the other Loan Documents to which any of them is or is to become a party shall have been duly and effectively taken, and evidence thereof satisfactory to the Agent shall have been provided to the Agent. The Agent shall have received from the Trust true copies of its by-laws and the resolutions adopted by its board of directors or trustees authorizing the transactions described herein and evidencing the due authorization, execution and delivery of the Loan Documents to which the Trust and/or the Borrower is a party, each certified by the secretary as of a recent date to be true and complete.

The Agent shall have received from the Trust true copies of its by-laws (or bringdowns of same with respect to a Borrower under the Original Credit Agreement) and the resolutions adopted by its board of directors or trustees authorizing the transactions described herein and evidencing the due authorization, execution and delivery of the Loan Documents to which the Trust and/or the Borrower is a party, each certified by the secretary as of a recent date to be true and complete.
