Common use of By Member Clause in Contracts

By Member. Notwithstanding any provision to the contrary contained herein or in the Facility Lease I or Facility Lease II, Member may (without the consent of Lessee) Transfer: (i) less than fifty (50%) percent of its interest in Lessor to any Person; (ii) any of its interest in Lessor to an Affiliate of Member; (iii) any of its interest in Lessor in connection with a public offering or sale of any such interest; and (iv) any of its interest in Lessor to an Affiliate of Parent or to the shareholders of Parent or the shareholders of an Affiliate of Parent in connection with a spin-off (each such transferee, a “Permissible Transferee”).
