By the Company for Cause or by the Executive Without Good Reason. If: (i) the Company terminates the Executive’s employment with the Company for “Cause” (as defined below); or (ii) the Executive voluntarily terminates the Executive’s employment without “Good Reason” (as defined below), the Executive shall be entitled to receive the following: (a) payment for accrued but unused vacation days, payable in accordance with Company policy; (b) the Executive’s accrued but unpaid Base Salary and vested benefits, if any, through the Termination Date; (c) the earned but unpaid portion of any Bonus earned in respect of any completed performance period prior to the Termination Date; and (d) expenses reimbursable under Section 4.4 incurred but not yet reimbursed to the Executive through the Termination Date (Sections 5.1(a), 5.1(b), 5.1(c) and 5.1(d), collectively, the “Accrued Benefits”).
