By the Company or the Executive. (a) Upon giving Notice of Termination (as defined below), the Company may terminate the employment of the Executive with or without Cause, and the Executive may terminate his or her employment for Good Reason or for any reason, at any time during the Post-Change in Control Period. “Cause” and “Good Reason” are as defined in Appendix A to this Agreement.
