By the Company Without Cause or By the Executive for Good Reason and During the Change of Control Period. Subject to the provisions of Paragraph 6(d) of this Agreement, if prior to the end of the Employment Term and during a Change of Control Period the Executive’s employment is terminated (i) by the Company without Cause or (ii) by the Executive for Good Reason, then the Company shall pay or provide to or in respect of the Executive, on the tenth Business Day next following the Executive’s Termination Date, all of the following amounts and benefits set forth in this Paragraph 6(b); provided, however, that any amounts to be paid pursuant to Paragraph 6(b)(iii) shall be paid in accordance with Paragraph 4(b).
