Common use of BY THE CORPORATION WITH CAUSE Clause in Contracts

BY THE CORPORATION WITH CAUSE. The Corporation may terminate this Agreement at any time for cause, by notice to the Employee setting forth the Early Termination Date. The term "cause" shall mean (a) a willful and recurring refusal of the Employee to perform his duties, responsibilities or obligations under this Agreement, which refusal continues for at least thirty (30) days after notice thereof is given to the Employee by the Corporation setting forth the facts upon which the notice is based, (b) the Employee's conviction of a felony involving moral turpitude, or (c) the Employee's fraud regarding any material matter with respect to the business or operations of the Corporation. Following the occurrence of the Early Termination Date of the Employee for cause, then the Employee shall not be entitled to earn any further compensation or benefits under this Agreement.
