The Executive may terminate his employment hereunder other than for Good Reason (as defined in Section 5(f) below) at any time upon the provision of 60 days written notice to the Company. The Company shall have no further obligation to the Executive, other than for any Final Compensation due to him, which shall be paid not later than the next regular Company payday following the effective date of termination, and there shall be no acceleration of or further vesting of the Executive’s unvested shares, and the Executive shall not have any put rights under Section 11 or otherwise.

The Executive may terminate his employment hereunder other than for Good Reason (as defined in Section 5(f) below) at any time for any reason other than Good Reason upon the provision of 60 days thirty (30) days’ written notice to the Company. In the event of termination of by the Executive pursuant to this Section 5(e5(f), the Board may elect to waive the period of notice notice, or any portion thereof. The Company shall have no further obligation to the Executive, other than for any Accrued Rights due to him, with the exception of item (vi) thereof.

In the event that the Board so waives some or all of the period of notice, and the Executive is not resigning his employment for the purpose of commencing employment with any business that is directly or indirectly competitive with the Company or any of its Affiliates, the Company shall pay the Executive his Base Salary for the period so waived.
