The Partnership represents and warrants to Executive that (i) it has all requisite power and authority to execute, deliver, and perform this Agreement, (ii) all necessary proceedings of the Partnership have been duly taken to authorize the execution, delivery, and performance of this Agreement, and (iii) this Agreement has been duly authorized, executed, and delivered by the Partnership, is the legal, valid, and binding obligation of the Partnership, and is enforceable against the Partnership in accordance with its terms.
