Common use of BY TRANSFER AGENT Clause in Contracts

BY TRANSFER AGENT. The Transfer Agent shall indemnify and hold Service Provider, each Scudder Fund, and their directorx, xxxxtees, officers and employees harmless from and against any and all losses, damages, costs, charges, counsel fees, payments, expenses and liabilities arising out of or attributable to: (a) the Transfer Agent's refusal or failure to comply with the provisions of this Agreement, or (b) the lack of good faith, negligence or willful misconduct of the Transfer Agent, or (c) the breach of any representation or warranty of the Transfer Agent hereunder.
