Common use of Bylaws and Resolutions Clause in Contracts

Bylaws and Resolutions. For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or operating agreements, together with all amendments thereto and (b) resolutions of such Person’s Board of Directors and partners, members and stockholders, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

Bylaws and Resolutions. For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or or operating agreementsagreement, as applicable, together with all amendments thereto and (b) resolutions of such Person’s Board of Directors and partners, members and stockholdersor Members, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate or organizational secretary or an assistant secretary or Members, as applicable, as being in full force and effect without any modification or amendment.

Bylaws and Resolutions. For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or operating agreements's amendments, together with all amendments thereto if any, to its bylaws, and (b) resolutions of such Person’s 's Board of Directors and partners, members and stockholdersor Members, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party this Amendment and the transactions other documents and instruments to be consummated delivered in connection therewithwith the transaction contemplated by this Amendment , each certified as of the Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary or Members, as applicable, as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or operating agreementsbylaws, together with all amendments thereto and thereto, (b) resolutions of such Person’s Board of Directors and partners, members and stockholders, as applicableDirectors, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, and (c) each such Person’s partnership agreement and unanimous shareholder agreement (if any), each certified as of the Closing Date by such Person’s corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, in form and substance reasonably acceptable to Administrative Agent and Co-Syndication Agents, (ai) such Person’s bylaws and all charter documents including partnership and/or operating agreements's bylaws, together with all amendments thereto and (bii) resolutions of such Person’s 's Board of Directors and partners, members and stockholders, as applicableif required, approving and authorizing the execution, delivery and performance of the Credit Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws and all charter documents including bylaws, operating agreement or limited partnership and/or operating agreementsagreement, as the case may be, together with all amendments thereto and (b) resolutions of such Person’s Board of Directors and stockholders, members or partners, members and stockholders, as applicablethe case may be, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s 's bylaws or similar document and all charter documents including partnership and/or operating agreementsif a party thereto or bound thereby, each shareholders' agreements together with all amendments thereto and (b) resolutions of such Person’s 's Board of Directors and partnersor Stockholders, members and stockholders, as where applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party to a Loan Document (other than an Excluded Credit Party), (a) such Person’s bylaws and all charter documents including partnership and/or operating agreementsor the foreign equivalent thereto, together with all amendments thereto and (b) resolutions of such Person’s Board of Directors and partners, members and stockholders, as or stockholders where applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws and all charter documents including 's bylaws, operating agreement or limited partnership and/or operating agreementsagreement, as applicable, together with all amendments thereto and (b) resolutions of such Person’s 's Board of Directors and Directors, members, stockholders, managers and/or partners, members and stockholders, as applicable, approving and authorizing the execution, delivery and performance of the Loan Letter of Credit Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate or organizational 's secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or operating agreements's bylaws, together with all amendments thereto and (b) resolutions of such Person’s 's Board of Directors and partners(and, members and to the extent required for the execution or performance of the Loan Documents, its stockholders, as applicable), approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws and all charter documents including partnership and/or operating agreements's bylaws, together with all amendments thereto (or certification that the same have not changed from the version last certified to Agent in connection with the Prior Credit Agreement) and (b) resolutions of such Person’s 's Board of Directors and partners, members and stockholders, as applicableDirectors, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Effective Date by such Person’s 's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s 's bylaws and all charter documents including partnership and/or operating agreements(or analogous governing agreement), together with all amendments thereto and (b) resolutions of such Person’s 's Board of Directors and partners, members and stockholders, as applicable(or analogous governing board), approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.
