Bylaws of the Buyer. The Stockholders acknowledge and agree that the Buyer Shares and the transfer thereof are governed by the terms and provisions of the bylaws of the Buyer and the Stockholders shall not sell, assign, pledge or otherwise transfer all or any portion of the Buyer Shares or any right or interest therein, whether voluntarily, involuntarily, by operation of law, by gift or otherwise, except by a transfer which meets the requirements specified in the bylaws of the Buyer. The Stockholders shall otherwise comply with the provisions of the bylaws of the Buyer as they relate to the Buyer Shares.

Bylaws of the Buyer. The Sellers acknowledge and agree that the Buyer Shares and the transfer thereof are governed by the terms and provisions of the bylaws of the Buyer, and any Seller who receives Buyer Shares shall not sell, assign, pledge or otherwise transfer all or any portion of the Buyer Shares or any right or interest therein, whether voluntarily, involuntarily, by operation of law, by gift or otherwise, except by a transfer which meets the requirements specified in the bylaws of the Buyer. Such Sellers shall otherwise comply with the provisions of the bylaws of the Buyer as they relate to the Buyer Shares. Any issuance by the Buyer of equity securities at a price per share below a pre-money valuation of $7.4 million must be approved by a majority of the board of directors, including at least one (1) Seller designee.
