Calculation Agent Failure. (a) In the event of any failure by the Calculation Agent to perform its duties and obligations under the Calculation Agent Agreement, the Reinsurer shall promptly notify the Ceding Insurer of such failure and of the proposed substitute calculation agent, if any. Such notice shall be in the form attached hereto as Exhibit K.
