Calculation of Initial Conversion Price. The Applicable Conversion Price of the Preferred Shares that shall be issued and sold to the Purchaser on the Initial Closing Date shall be equal to the lower of (i) $8.74 and (ii) the sum of (a) the average of the daily Market Prices of the Common Stock for the 20 consecutive trading days ending on the Business Day immediately preceding the Initial Closing Date plus (b) 15% of the amount specified in clause (a) (the "Initial Series B Conversion Price"). The Applicable Conversion Price of the Preferred Shares that shall be issued and sold to the Purchaser on each Draw Down Closing Date shall be equal to the lower of (a) the Initial Series B Conversion Price and (b) the sum of (A) the average of the daily Market Prices of the Common Stock for the 20 consecutive trading days ending on the Business Day immediately preceding such Draw Down Closing Date plus (B) 15% of the amount specified in clause (A). For purposes of this Section 1.5, "Applicable Conversion Price" and "Market Prices" shall have the meanings given to such terms in the Series B Certificate of Designation. Each Applicable Conversion Price shall be rounded to the nearest cent, with 0.5 of a cent rounded down to the nearest cent.

If the Trading Price cannot be calculated for such security on such date in the manner provided above, the Trading Price shall be the fair market value as mutually determined by the Borrower and the holders of a majority in interest of the Notes being converted for which the calculation of the Trading Price is required in order to determine the Conversion Price of such Notes. “Trading Day” shall mean any day on which the Common Stock is tradable for any period on the OTCBB, or on the principal securities exchange or other securities market on which the Common Stock is then being traded.
