Calculation of PSUs. The Human Resources Committee (the “Committee”) will determine the number of PSUs payable to the Participant based on the performance results during the Performance Period, calculated using the performance grid set forth in Section 2 of this Agreement. The PSUs attributable to each performance criteria are independently determined. Subject to Sections 4 and 8, payment of any PSUs determined pursuant to this Section is expressly conditioned upon continued employment from the first day of the Performance Period (or effective date of grant, if later) through the Payment Date (as determined in Section 5) (the “Vesting Period”). The Participant expressly agrees that no PSUs shall be considered earned under applicable law until the last day of the Vesting Period.
