Calculation of Repurchase Price for Unvested Shares. The Company or its assignee shall have the option to repurchase from Purchaser (or from Purchaser’s personal representative as the case may be) the Unvested Shares at an aggregate repurchase price equal to the sum of (i) the Per Share Price (as adjusted proportionately adjusted for any stock split, reverse stock split, stock dividend or other similar change in the capital structure of the Company as set forth in Section 9.1.1 of the Plan that is effected after the Effective Date) multiplied by the number of Unvested Shares to be repurchased plus (ii) interest on such amount from the Effective Date to the date of repurchase at the rate of 5% per annum, compounded annually.

The Company or its assignee shall have the option to repurchase from the Purchaser (or from the Purchaser’s personal representative as the case may be) all or any portion of the Unvested Shares at an aggregate repurchase price (the “Repurchase Price”) equal to the sum of (i) the Exercise Price Per Share Price (as adjusted proportionately adjusted for any stock split, reverse stock split, stock dividend or other similar change in the capital structure of the Company as set forth in Section 9.1.1 of the Plan that is effected after the Effective Date) applicable to such Unvested Shares multiplied by the number of Unvested Shares to be repurchased plus (ii) interest on such amount from the Effective Date to the date of repurchase at the rate of 5[ ] % per annum, compounded annually.
