Calculational Appendices. Appendices A and B to this Agreement set forth specific numerical values used to calculate various components of the Partial Termination Payment and sample numerical values used to calculate a sample Partial Termination Payment, which sample values shall be replaced with actual values (as of the Partial Termination Payment Calculation Date) in order to calculate the actual Partial Termination Payment, which shall be set forth on Appendix C. The Parties acknowledge and agree that the mathematical operations (addition, subtraction, multiplication and division) performed on the numerical values contained or to be contained in Appendices A through C in order to calculate the Partial Termination Payment are embedded as functions in a Microsoft Excel spreadsheet, a copy of which has been provided to each Party's legal counsel.
