Canadian Agreements. The Agent shall have received a complete and correct copy of the Canadian Acquisition Agreement as well as the schedule of material agreements provided by the Seller in connection with the Canadian Acquisition Agreement. The Agent shall notify the Company and the Lenders of the Effective Date, and such notice shall be conclusive and binding.
