Canadian Competition Acts. Except as set forth on Schedule 4.29 of the Company Disclosure Schedule, the aggregate value of the assets in Canada, determined in accordance with the Competition Act and the Notifiable Transactions Regulations thereunder, that are owned by the Company or by any corporations controlled by the Company does not exceed CAN $50 million and the annual gross revenues from sales in or from Canada, determined in accordance with the Competition Act and the Notifiable Transactions Regulations thereunder, generated from such assets in Canada do not exceed CAN $50 million. For purposes of this Section 4.29, “Competition Act” means the Competition Act (Canada), R.S.C. 1985, c.C-34, as amended.
