Common use of Canadian Pension Plans Clause in Contracts

Canadian Pension Plans. The Loan Parties shall not (a) contribute to or assume an obligation to contribute to any Canadian Defined Benefit Plan, without the prior written consent of the Administrative Agent, or (b) acquire an interest in any Person if such Person sponsors, administers, maintains or contributes to or has any liability in respect of any Canadian Defined Benefit Plan, or at any time in the five-year period preceding such acquisition has sponsored, administered, maintained, or contributed to a Canadian Defined Benefit Plan, without the prior written consent of the Administrative Agent.

Canadian Pension Plans. The Loan Parties shall not (a) contribute to or assume an obligation to contribute to any Canadian Defined Benefit Plan, without the prior written consent of the Administrative AgentAgent (consent not to be unreasonably withheld), or (b) acquire an interest in any Person (other than pursuant to a Permitted Acquisition) if such Person sponsors, administers, maintains or contributes to or has any liability in respect of any Canadian Defined Benefit Planto, or at any time in the five-year period preceding such acquisition has sponsored, administered, maintained, or contributed to a Canadian Defined Benefit Plan, without the prior written consent of the Administrative AgentAgent (consent not to be unreasonably withheld).

Canadian Pension Plans. The No Loan Parties shall not Party shall: (ai) contribute to or assume an obligation to contribute to any new Canadian Defined Benefit Pension Plan, without the prior written consent of the Administrative Agent, ; or (bii) acquire an interest in any Person if such Person sponsors, administers, maintains or contributes to or has any liability in respect of any Canadian Defined Benefit Planto, or at any time in the five-year period preceding such acquisition has sponsored, administered, maintained, or contributed to a Canadian Defined Benefit Pension Plan, without the prior written consent of the Administrative Agent, acting reasonably.

The None of the Canadian Loan Parties shall not (a) contribute to or assume an obligation to contribute to any Canadian Defined Benefit Planshall, without the prior written consent of the Administrative Agent, maintain, administer, contribute or (b) have any liability in respect of any Canadian Defined Benefit Plan or acquire an interest in any Person if such Person sponsors, administersmaintains, maintains administers or contributes to to, or has any liability in respect of any Canadian Defined Benefit Plan, or at any time in the five-year period preceding such acquisition has sponsored, administered, maintained, or contributed to a Canadian Defined Benefit Plan, without the prior written consent of the Administrative Agent.
