Common use of Cancellation and Destruction of Right Certificates Clause in Contracts

Cancellation and Destruction of Right Certificates. All Right Certificates surrendered or presented for the purpose of exercise, transfer, split-up, combination or exchange shall, and any Right Certificate representing Rights that have become null and void and nontransferable pursuant to Section 7(e) surrendered or presented for any purpose shall, if surrendered or presented to the Company or to any of its agents, be delivered to the Rights Agent for cancellation or in canceled form, or, if surrendered or presented to the Rights Agent, shall be canceled by it, and no Right Certificates shall be issued in lieu thereof except as expressly permitted by this Rights Agreement. The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any Right Certificate purchased or acquired by the Company. The Rights Agent shall deliver all canceled Right Certificates to the Company, or shall, at the written request of the Company, destroy such canceled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

The Rights Agent shall deliver all canceled Right cancelled Rights Certificates to the Company, or shall, at the written request of the Company, destroy or cause to be destroyed such canceled Right cancelled Rights Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

The Company NWBio shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any Right Certificate purchased or acquired by the CompanyNWBio. The Rights Agent shall deliver all canceled Right Certificates to the CompanyNWBio, or shall, at the NWBio's written request of the Companyrequest, destroy such canceled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the CompanyNWBio.

The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Right Certificate purchased or acquired by the CompanyCompany otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled cancelled Right Certificates to the Company, or shall, at the written request of the Company, destroy such canceled cancelled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

Upon written request of the CompanyCorporation (and at the expense of the Corporation), destroy such canceled Right Certificates, and in such case the Rights Agent shall deliver a certificate of destruction thereof provide to the CompanyCorporation or its designee copies of such electronic records or physical records relating to Rights Certificates cancelled or destroyed by the Rights Agent.

Upon written request of the CompanyCorporation (and at the expense of the Corporation), destroy such canceled Right Certificates, and in such case the Rights Agent shall deliver a certificate of destruction thereof provide to the CompanyCorporation or its designee copies of such electronic records or physical records relating to Rights Certificates cancelled or destroyed by the Rights Agent.

Cancellation and Destruction of Right Certificates. All ----------- -------------------------------------------------- Right Certificates surrendered or presented for the purpose of exercise, transfer, split-up, combination or exchange shall, and any Right Certificate representing Rights that have become null and void and nontransferable non-transferable pursuant to Section 7(e7(f) surrendered or presented for any purpose shall, if surrendered or presented to the Company or to any of its agents, be delivered to the Rights Agent for cancellation or in canceled form, or, if surrendered or presented to the Rights Agent, shall be canceled by it, and no Right Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Rights Agreement. The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any Right Certificate purchased or acquired by the Company. The Rights Agent shall deliver all canceled Right Certificates to the Company, or shall, at the written request of the Company, destroy such canceled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

Cancellation and Destruction of Right Certificates. The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Right Certificate purchased or acquired by the CompanyCompany otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled Right Certificates to the Company, or shall, at the written request of the Company, destroy such canceled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

The Rights Agent shall deliver all canceled Right Certificates to the Company, or shall, at the written request of the Companypursuant to a Company Order, destroy such canceled Right Certificates, Certificates and in such case shall deliver a certificate of destruction thereof to the Company.
