Cancellation and Destruction of Rights Certificates. All Rights Certificates surrendered for the purpose of and accepted for exercise, or surrendered for the purpose of redemption, transfer, split up, combination or exchange shall, if surrendered to the Company or to any of its agents (other than the Rights Agent), be delivered to the Rights Agent for cancellation or in canceled form, or, if surrendered to the Rights Agent, shall be canceled by it, and no Rights Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Agreement. The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Rights Certificates purchased or retired by the Company otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled Rights Certificates to the Company, or may, at the written request of the Company, but shall not be required to, destroy such canceled Rights Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

The Company shall deliver to the Rights Subscription Agent for cancellation and retirement, and the Rights Subscription Agent shall so cancel and retire, any other Rights Certificates Certificate purchased or retired acquired by the Company otherwise than upon the exercise thereof. The Rights Subscription Agent shall (a) may deliver all canceled cancelled Rights Certificates to the Company, and if delivered the Company shall make available to the Subscription Agent the cancelled Rights Certificates for its inspection, or may(b) shall, at the written request of the Company, but shall not be required to, destroy such canceled Rights Certificates, Certificates and in such case shall deliver a certificate of destruction thereof to the Company.

No Rights Certificates shall be issued authenticated in lieu thereof of or in exchange for any Rights Certificates canceled as provided in this Section 9 except as expressly permitted by any of the provisions of this Agreement. The Company OCA shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Rights Certificates Certificate purchased or retired acquired by the Company OCA otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled Rights Certificates to the CompanyOCA, or mayshall, at the written request of the Company, but shall not be required topursuant to a Company Order, destroy such canceled Rights Certificates, Certificates and in such case shall deliver a certificate of destruction thereof to the CompanyOCA.

The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Rights Certificates purchased or retired acquired by the Company otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled cancelled Rights Certificates to the Company, or mayshall, after any Securities and Exchange Commission required retention period, at the written request of the Company, but shall not be required to, destroy such canceled cancelled Rights Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.

Cancellation and Destruction of Rights Certificates. All Rights Certificates surrendered for the purpose of and accepted for exercise, or surrendered for the purpose of redemption, transfer, split up, combination or exchange shall, if surrendered to the Company or to any of its agents (other than the Rights Agent)agents, be delivered to the Rights Agent for cancellation or in canceled cancelled form, or, if surrendered to the Rights Agent, shall be canceled cancelled by it, and no Rights Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Agreement. The Company shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Rights Certificates purchased or retired acquired by the Company otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled cancelled Rights Certificates to the Company, or mayshall, at the written request of the Company, but shall not destroy, or cause to be required todestroyed, destroy such canceled cancelled Rights Certificates, and in such case shall deliver a certificate of evidencing the destruction thereof to the Company (or, at the Company’s option, appropriate copies of the electronic records relating to Rights Certificates so cancelled or destroyed by the Rights Agent).
