Cancellation by Exhibitor. The Exhibitor, however, remain liable for the total costs of the Stand area as well as any ancillary costs that may have incurred. REDUCTION OF SPACE Where an Exhibitor requests the reduction in the size of its Space booking after acceptance by the Organiser of the Exhibitor’s application for Space, then the Exhibitor must forward such request to the Organiser in writing. The Organiser reserves the right to apply the scale of cancellation charges set out in above to the total cost according to the amount by which the original Space area is reduced. The Organiser may re-sell or re-allocate the Space in question, but the Organiser shall be under no obligation to reimburse all or any part of the charge for reduction in Space. There shall be no obligation on the Organiser to accept the request for reduction of Space by the Exhibitor. GENERAL OBLIGATIONS OF THE EXHIBITOR The Exhibitor shall insure with a reputable insurance company for its liability under this Agreement. Without limiting its obligation to take out insurance cover for such risks as it shall consider appropriate, the Exhibitor shall take out adequate insurance in respect of matters including (without limitation) public liability insurance for loss damage or injury caused by the Exhibitor’s neglect or default. Exhibitors must keep their Space open and available to be attended by staff throughout the period of the event. This is expected to be the selected designer maker for at least 90% of the event. Any lighting or electrical appliance not supplied by the Exhibitor must be PAT tested in advance and may be checked and/or removed at any point by the Contractor or Organiser. The Organiser shall appoint an official contractor for electrical work on all Exhibition Spaces. The Exhibitor shall be responsible for settling all accounts directly with the Organiser. The use of video equipment must be authorised in writing by the Organiser before installation. The Organiser will remove any part of the display outside the limits of an Exhibitor’s allocated Space and may further restrict the display or demonstration of any mechanical or other equipment should it be a nuisance to other Exhibitors or the visiting public. It is a condition of Exhibiting that sales to the public are charged at a proper retail price, and displays are adequately stocked with saleable goods made by the Exhibitor for the duration of the event. If items are batch produced rather than made fully by the Exhibitor, goods should be labelled as such and information about the making process of all Exhibits should be available to visitors of the event. Exhibited work must be of the same discipline, quality and price points as work used as part of the Exhibitor’s application. Unapproved work may be omitted from the event at the request of the �rganiser. POWERS AND DISCRETION OF THE ORGANISER The Organiser reserves the rights to change the Space and Stand allocated to the Exhibitor at any time before the Exhibitor takes possession of the Space and Stand and if such changed area of such Space and Stand is smaller than the area specified in the application for Space, the Organiser shall make a refund to the Exhibitor pro-rata to the amount of the area reduced; Alter the position or layout of the Exhibition and any Stands including the Stand and Space; Refuse any person admission to the Exhibition or remove from the Exhibition any person whose presence in the opinion of the Organiser is or is likely to be undesirable and the Organiser may exercise such rights not withstanding that any person is the servant or agent of the Exhibitor or otherwise in any way connected or associated with the Exhibitor; Remove from the Stand or the Venue at the risk and expense of the Exhibitor any Exhibit, fitting or machinery or other items to which the Organiser has an objection or which the Exhibitor fails to remove in accordance with or which do not comply with these terms and conditions.

Cancellation by Exhibitor. If Exhibitor cancels this Contract, Exhibitor may only do so by giving notice thereof in writing sent to IIBEC with evidence of receipt. If such written notice is received at least 90 days prior to the opening date of the Event, then Exhibitor will remain liable for 50% of the total exhibit fee. If notice of cancellation is received less than 90 days prior to the Event, Exhibitor will remain liable for 100% of the total exhibit fee, regardless of when this Contract is executed by Exhibitor. This provision for liquidated and agreed upon damages is a bona fide provision and not a penalty. The parties understand that the Exhibitor requests that to cancel the Space booking after acceptance by the Organiser; or fails to meet any withdrawal of the payment obligations detailed space reserved from availability and, if applicable, the cancellation of sponsorships and/or promotional materials, in each case at a time when other parties would be interested in such space and/or products, will cause IIBEC to sustain substantial damages that will not be capable of determination with mathematical precision. Therefore, the provisions for liquidated and agreed upon damages have been incorporated into this Contract for Space; or fails to occupy as a valid pre- estimate of these damages. The date of cancellation shall be the Space allotted to it by date IIBEC receives the opening time on the first day of Exhibition, THEN the Organiser notice. IIBEC reserves the right to treat Exhibitor’s downsizing of booth space as cancellation of the contract for Space original space and purchase of new booth space, and Exhibitor may be required to move to a new location. CANCELLATION OF THE EVENT If IIBEC cancels the Event due to circumstances beyond the reason- able control of IIBEC (such as being cancelled and apply riot, strike, civil disorder, act of war, act of God, terrorism, epidemic, pandemic, government mandated restrictions, or any cause whatsoever that is not within IIBEC’s reasonable control), IIBEC shall refund to each Exhibitor its exhibit space rental payment previously paid, minus a 25% administrative processing fee, in full satisfaction of all liabilities of IIBEC to Exhibitor. IIBEC reserves the following cancellation charges and right to re-allocate cancel, rename or relocate the Space booked Event or change the dates on which it is held. If IIBEC changes the name of the Event; relocates the Event to another Exhibitor: Cancellation Occurring: Cancellation charge: More event facility and/or city or converts the Event to virtual/digital in nature; or changes the dates for the Event to dates that are not more than six 90 days prior or 13 months prior to the Exhibition: Deposit only More than four months and less than six months 50% of the total charge* Less than four months prior to the Exhibition 100% of the total charge* *The non-refundable deposit is considered part of the total charge. Cancellation by Exhibitor. In event that Exhibitor seeks to cancel this Agreement, withdraw from show, or reduce booth space requirements for the Show, Exhibitor must give written notification within sixty (60) days prior to Show. All cancellations, withdrawals or requests for reduction in space, as applicable, shall be the postmark date on the notice. All deposits received by Show Management up to the date of the receipt of the cancellation, withdrawal or request for reduction shall be non-refundable. In the event that Show Management receives notice of cancellation or withdrawal within sixty (60) days of the Show, Exhibitor requests that shall remain responsible for the full payment of the exhibit space rental, including all costs and attorneys fees incidental to the collection of the same. In the event Exhibitor, at any times, seeks to cancel this agreement, withdraws from the Space booking after acceptance by show, or requests a reduction in space, an administrative and processing fee of $100.00 per 8X10 booth in addition to the Organiser; deposit will be assessed. If reduction in space is requested, Exhibitors booth space on the Show floor may be moved in the sole discretion of Show Management. In the event Exhibitor fails to make payment in full and in a timely manner, or fails in any respect to meet any comply with all terms of the payment obligations detailed in the Contract for Space; or fails to occupy the Space allotted to it by the opening time on the first day of Exhibitionthis contract, THEN the Organiser Show Management reserves the right to treat cancel this contract with or without notice to Exhibitor and all rights of Exhibitor hereunder shall immediately cease and terminate. Cancellation by Exhibitor. In All cancellations must be submitted in writing to: CEA Sales Department, 0000 Xxxxx Xxxx Xxxxxx, Arlington, VA 22202, USA, return receipt requested, and shall become effective when received by CEA. Both Exhibitor and CEA acknowledge that CEA will sustain substantial losses if Exhibitor cancels its Application and Contract. Even though CEA will exercise its best efforts to mitigate the event damages associated with Exhibitor cancellation, the parties agree that CEA will nevertheless incur substantial losses that cannot be precisely determined. Due to the difficulty of determining and providing said losses, the Exhibitor requests that agrees to pay the following as liquidated damages if Exhibitor cancels its exhibit space on or within the time periods specified below. All cancellation fees that may become due hereunder are acknowledged by Exhibitor as liquidated damages and are not applicable toward any future CEA sponsored shows or events. POWERS AND DISCRETION OF THE ORGANISER The Organiser reserves the rights to change the Space and Stand allocated to the Exhibitor at any time before the Exhibitor takes possession of the Space and Stand and if such changed area of such Space and Stand is smaller than the area specified in the application for Space, the Organiser shall make a refund to the Exhibitor pro-rata to the amount of the area reduced; Alter the position or layout of the Exhibition and any Stands including the Stand and Space; Refuse any person admission to the Exhibition or remove from the Exhibition any person whose presence in the opinion of the Organiser is or is likely to be undesirable and the Organiser may exercise such rights not withstanding that any person is the servant or agent of the Exhibitor or otherwise in any way connected or associated with the Exhibitor; Remove from the Stand or the Venue at the risk and expense of the Exhibitor any Exhibit, fitting or machinery or other items to which the Organiser has an objection or which the Exhibitor fails to remove in accordance with or which do not comply with these terms and conditions20% cancellation/downgrade fee after 10 calendar days.

Cancellation by Exhibitor. If Exhibitor cancels this Contract, Exhibitor may only do so by giving notice thereof in writing sent to IIBEC with evidence of receipt. If such written notice is received at least 90 days prior to the opening date of the Event, then Exhibitor will remain liable for 50% of the total exhibit fee. If notice of cancellation is received less than 90 days prior to the Event, Exhibitor will remain liable for 100% of the total exhibit fee, regardless of when this Contract is executed by Exhibitor. The parties understand that the Exhibitor requests that to cancel the Space booking after acceptance by the Organiser; or fails to meet any withdrawal of the payment obligations detailed space reserved from availability and, if applicable, the cancellation of sponsorships and/or promotional materials, in each case at a time when other parties would be interested in such space and/or products, will cause IIBEC to sustain substantial damages that will not be capable of determination with mathematical precision. Therefore, the provisions for liquidated and agreed upon damages have been incorporated into this Contract for Space; or fails to occupy as a valid pre- estimate of these damages. The date of cancellation shall be the Space allotted to it by date IIBEC receives the opening time on the first day of Exhibition, THEN the Organiser notice. IIBEC reserves the right to treat Exhibitor’s downsizing of booth space as cancellation of the contract for Space original space and purchase of new booth space, and Exhibitor may be required to move to a new location. CANCELLATION OF THE EVENT If IIBEC cancels the Event due to circumstances beyond the reason- able control of IIBEC (such as being cancelled and apply riot, strike, civil disorder, act of war, act of God, terrorism, epidemic, pandemic, government mandated restrictions, or any cause whatsoever that is not within IIBEC’s reasonable control), IIBEC shall refund to each Exhibitor its exhibit space rental payment previously paid, minus a 25% administrative processing fee, in full satisfaction of all liabilities of IIBEC to Exhibitor. IIBEC reserves the following cancellation charges and right to re-allocate cancel, rename or relocate the Space booked Event or 2024 IIBEC INTERNATIONAL CONVENTION & TRADE SHOW change the dates on which it is held. If IIBEC changes the name of the Event; relocates the Event to another Exhibitor: Cancellation Occurring: Cancellation charge: More event facility and/or city or converts the Event to virtual/digital in nature; or changes the dates for the Event to dates that are not more than six 90 days prior or 13 months prior to the Exhibition: Deposit only More than four months and less than six months 50% of the total charge* Less than four months prior to the Exhibition 100% of the total charge* *The non-refundable deposit is considered part of the total charge. Any lighting or electrical appliance not supplied by the Exhibitor must be PAT tested in advance and may be checked and/or removed at any point by the Contractor or Organiser. The Organiser shall appoint an official contractor for electrical work on all Exhibition Spaces. The Exhibitor shall be responsible for settling all accounts directly with the Organiser. The use of video equipment must be authorised in writing by the Organiser before installation. The Organiser will remove any part of the display outside the limits of an Exhibitor’s allocated Space and may further restrict the display or demonstration of any mechanical or other equipment should it be a nuisance to other Exhibitors or the visiting public. It is a condition of Exhibiting that sales to the public are charged at a proper retail price, and displays are adequately stocked with saleable goods made by the Exhibitor for the duration of the event. If items are batch produced rather than made fully by the Exhibitor, goods should be labelled as such and information about the making process of all Exhibits should be available to visitors of the event. Cancellation by Exhibitor. Cancellation by Exhibitor. The Organiser is free to dispose of Stands that have not been occupied by the Exhibitor 12 hours before the start of the Exhibition. In this situation, the Exhibitor loses any claim to his Stand. The Exhibitor, however, remain liable for the total costs of the Stand area as well as any ancillary costs that may have incurred. Any lighting or electrical appliance not supplied by the Exhibitor must be PAT tested in advance and may be checked and/or removed at any point by the Contractor or Organiser. The Organiser shall appoint an official contractor for electrical work on all Exhibition Spaces. The Exhibitor shall be responsible for settling all accounts directly with the Organiser. The use of video equipment must be authorised in writing by the Organiser before installation. The Organiser will remove any part of the display outside the limits of an Exhibitor’s allocated Space and may further restrict the display or demonstration of any mechanical or other equipment should it be a nuisance to other Exhibitors or the visiting public. It is a condition of Exhibiting that sales to the public are charged at a proper retail price, and displays are adequately stocked with saleable goods made by the Exhibitor for the duration of the event. If items are batch produced rather than made fully by the Exhibitor, goods should be labelled as such and information about the making process of all Exhibits should be available to visitors of the event. Exhibited work must be of the same discipline, quality and price points as work used as part of the Exhibitor’s application. Unapproved work may be omitted from the event at the request of the �rganiser. If the Exhibitor exhibitor wishes to cancel the contract for Spacespace, then written notice must be forwarded to and received by Organiser organiser no later than the dates referred above. The Organiser shall not be obliged to accept the Exhibitor’s request to cancel its booking for Space. Notwithstanding that the Organiser may re-sell or re-allocate the cancelled Space after cancellation by the Exhibitor, the Organiser shall be under no obligation to reimburse all or any part of a cancellation charge. The Exhibitor shall fully and promptly indemnify the Organiser against all expenses, costs, claims, losses, liabilities, charges and damages which the Organiser may suffer or incur as a result (direct or indirect) of the cancellation of the Contract For Space by the Exhibitor including, without limitation, where the Space or Stand is dressed or altered in any way in order to maintain an orderly and visually pleasing Exhibition. The Organiser is free to dispose of Stands stands that have not been occupied by the Exhibitor exhibitor 12 hours before the start of the Exhibition. In this situation, the Exhibitor loses any claim to his Standstand. The Exhibitor, however, remain liable for the total costs of the Stand stand area as well as any ancillary costs that may have incurred. REDUCTION OF SPACE Where an Exhibitor requests the reduction in the size of its Space booking after acceptance by the Organiser of the Exhibitor’s application for Space, then the Exhibitor must forward such request to the Organiser in writing. The Organiser reserves the right to apply the scale of cancellation charges set out in above to the total cost according to the amount by which the original Space area is reduced. The Organiser may re-sell or re-allocate the Space space in question, but the Organiser shall be under no obligation to reimburse all or any part of the charge for reduction in Space. There shall be no obligation on the Organiser to accept the request for reduction of Space by the Exhibitor. SPACE Exhibitor Spaces booked are outside measurements including any partition walls which have an approximate thickness of 5.5cm each. Two spotlights only per any stand size. Electricity Spotlights and electricity sockets are not included in any packages. These are optional extras which must be arranged separately with the Organiser. GENERAL OBLIGATIONS OF THE EXHIBITOR The Exhibitor shall insure with a reputable insurance company for its liability under this Agreement. Without limiting its obligation to take out insurance cover for such risks as it shall consider appropriate, the Exhibitor shall take out adequate insurance in respect of matters including (without limitation) public liability insurance for loss damage or injury caused by the Exhibitor’s neglect or default. Exhibitors must keep their Space space open and available to be attended by staff throughout the period of the event. This is expected to be the selected designer maker for at least 90% of the event. Any lighting or electrical appliance not supplied by the Exhibitor must be PAT tested in advance and may be checked and/or removed at any point by the Contractor or Organiser. The Organiser shall appoint an official contractor for electrical work on all Exhibition Spacesexhibition spaces. The Exhibitor exhibitor shall be responsible for settling all accounts directly with the Organiser. The use of video equipment must be authorised in writing by the Organiser before installation. The Organiser will remove any part of the display outside the limits of an Exhibitor’s allocated Space space and may further restrict the display or demonstration of any mechanical or other equipment should it be a nuisance to other Exhibitors exhibitors or the visiting public. It is a condition of Exhibiting exhibiting that sales to the public are charged at a proper retail price, and displays are adequately stocked with saleable goods made by the Exhibitor exhibitor for the duration of the event. If items are batch produced rather than made fully by the Exhibitorexhibitor, goods should be labelled as such and information about the making process of all Exhibits exhibits should be available to visitors of the event. Exhibited work must be of the same discipline, quality and price points as work used as part of the Exhibitorexhibitor’s application. Unapproved work may be omitted from the event at the request of the �rganiserorganiser. POWERS AND DISCRETION OF THE ORGANISER The Organiser organiser reserves the rights to change the Space and Stand allocated to the Exhibitor at any time before the Exhibitor takes possession of the Space and Stand and if such changed area of such Space and Stand is smaller than the area specified in the application for Space, the Organiser shall make a refund to the Exhibitor pro-rata to the amount of the area reduced; Alter the position or layout of the Exhibition and any Stands stands including the Stand and Space; Refuse any person admission to the Exhibition or remove from the Exhibition any person whose presence in the opinion of the Organiser is or is likely to be undesirable and the Organiser may exercise such rights not withstanding that any person is the servant or agent of the Exhibitor or otherwise in any way connected or associated with the Exhibitor; Remove from the Stand or the Venue at the risk and expense of the Exhibitor any Exhibit, fitting or machinery or other items to which the Organiser has an objection or which the Exhibitor fails to remove in accordance with or which do not comply with these terms and conditions.
