Common use of Cancellation of a Demand Registration Clause in Contracts

Cancellation of a Demand Registration. Holders of a majority of the Registrable Securities that are to be registered in a particular offering pursuant to this Section 2(b) shall have the right to notify the Company that they have determined that the registration statement be abandoned or withdrawn, in which event the Company shall abandon or withdraw such registration statement; provided, that such Demand Notice underlying such abandonment or withdrawal shall not be deemed to be a Demand Notice for purposes of Section 2(b)(i) if in response to a material adverse change regarding the Company or a material adverse change in the financial markets generally.

Holders of Purchasers that hold a majority of the Registrable Securities that are to be registered in a particular offering pursuant to this Section 2(b4.11(a) shall have the right to notify the Company that they have determined that the registration statement Registration Statement be abandoned or withdrawn, in which event the Company shall abandon or withdraw such registration statementRegistration Statement; provided, provided that such Demand Notice underlying such abandonment or withdrawal shall not be deemed to be a Demand Notice for purposes of Section 2(b)(i4.11(a)(v) if such abandonment or withdrawal is in response to a material adverse change regarding the Company or a material adverse change in the financial markets generally.
