Cancellation of Certain IPT Shares. As of the Effective Time, by virtue of the Merger and without any action on the part of any IPT Shareholder, all IPT Shares owned directly or indirectly by AIMCO and its Subsidiaries shall automatically be canceled and retired and shall cease to exist, and no Merger Consideration or other consideration shall be issued or delivered in exchange therefor.
