Common use of Cancellation of Certificate of Limited Partnership Clause in Contracts

Cancellation of Certificate of Limited Partnership. Upon the completion of the distribution of partnership property as provided in Sections 14.3 and 14.4, the Partnership shall be terminated, and the Liquidator (or any of the Partners, if necessary) shall cause the cancellation of the Certificate of Limited Partnership and all formations and qualifications of the Partnership in jurisdictions other than the State of Delaware and shall take such other actions as may be necessary to terminate the Partnership.

Cancellation of Certificate of Limited Partnership. Upon the completion of the distribution of partnership Partnership property as provided in pursuant to Sections 14.3 12.3 and 14.412.4, the Partnership shall be terminated, and the Liquidator (or any of the Partners, Limited Partner if necessary) shall cause the cancellation of the Certificate of Limited Partnership and all formations and qualifications of the Partnership as a foreign limited partnership in jurisdictions other than the State of Delaware and shall take such other actions as may be necessary to terminate the Partnership.

The Partnership shall be deemed to continue in existence for all purposes of this Agreement until it is terminated pursuant to this Section 13.5.

The Partnership shall be deemed to continue in existence for all purposes of this Agreement until it is terminated pursuant to this Section 13.6.
