Cancellation of Company-Owned Shares. Each Share held by Mariposa Australia or any direct or indirect Subsidiary of Mariposa Australia immediately prior to the Closing Date shall be cancelled and extinguished as of the Closing Date.

Cancellation of Company-Owned Shares. Notwithstanding anything to the contrary herein, at the Closing, all shares of Company Share Capital that are owned by the Company or by any Company Subsidiary immediately prior to the Closing shall be cancelled and extinguished at the Closing without any present or future right to receive any portion of the Purchase Price or other consideration whatsoever.
