CANCELLATION OF GUARANTEE. Parent shall use its best efforts to obtain and shall have obtained the consent of Congress Financial Corporation to the cancellation of that certain Limited Guarantee dated August 13, 1996 between Congress Financial Corporation and Xxxxxx Xxxxxx, executed in connection with the Loan Agreement (the "Guarantee") and the Guarantee shall have been duly canceled as of the Closing Date.
