Common use of CANCELLATION OF NOTES AND COUPONS Clause in Contracts

CANCELLATION OF NOTES AND COUPONS. 12.1 All Notes which are surrendered in connection with redemption (together with all unmatured Coupons attached to or delivered with such Notes) and all Coupons which are paid shall be cancelled by the Paying Agent to which they are surrendered. Each of the Paying Agents shall give to the Fiscal Agent details of all payments made by it and shall deliver all cancelled Notes and Coupons to the Fiscal Agent (or as the Fiscal Agent may specify). Where Notes are purchased by or on behalf of the Issuer, the Guarantor or any of their respective Subsidiaries, the Issuer or, as the case may be, the Guarantor, may (but shall not be obliged to) procure that the Notes (together with all unmatured Coupons appertaining to such Notes) are promptly cancelled. 12.2 The Fiscal Agent or its authorised agent shall (unless otherwise instructed by the Issuer or the Guarantor on behalf of the Issuer in writing and save as provided in clause 14.1) destroy all cancelled Notes and Coupons and furnish the Issuer and the Guarantor with a certificate of destruction containing written particulars of the serial numbers of the Notes and the number by maturity date of Coupons so destroyed.

Where Notes are purchased by or on behalf of the Issuer, the Guarantor Issuer or any of their respective its Subsidiaries, the Issuer ormay, as the case may beat its option, the Guarantor, may (but shall not be obliged to) procure that the Notes (together with all unmatured Coupons appertaining to such those Notes) are promptly cancelled.cancelled and delivered to the Principal Paying Agent or its authorised agent.‌ 12.2 13.2 The Fiscal Principal Paying Agent or its authorised agent shall (unless otherwise instructed by the Issuer or the Guarantor on behalf of the Issuer in writing and save as provided in clause 14.1writing) destroy all cancelled Notes and Coupons and furnish the Issuer and the Guarantor with a certificate of destruction containing written particulars of the serial numbers of the Notes in numerical sequence, their denomination and the number by maturity date of Coupons so destroyed.

CANCELLATION OF NOTES AND COUPONS. 12.1 17.1 All Notes which are surrendered in connection with redemption redemption, or transfer (together with all unmatured Coupons attached to or delivered with such in the case of Registered Notes) ), and all Coupons which are paid which are exchanged shall be cancelled by the Paying Agent to which they are surrendered. Each of the Paying Agents shall give to the Fiscal Paying and Issuing Agent details of all payments and exchanges made by it and shall deliver all cancelled Notes and Notes, Coupons to the Fiscal Paying and Issuing Agent (or as the Fiscal Paying and Issuing Agent may specify). Where Notes are purchased by or on behalf of the Issuer, Issuer in accordance with the Guarantor or any of their respective Subsidiariesrelevant Conditions), the Issuer or, as the case may be, the Guarantor, may (but shall not be obliged to) procure that the Notes (together with all unmatured Coupons appertaining to such Notes) are promptly cancelledcancelled and delivered to the Paying and Issuing Agent or its authorised agent. 12.2 17.2 The Fiscal Paying and Issuing Agent or its authorised agent shall (unless otherwise instructed by the Issuer or the Guarantor on behalf of the Issuer in writing and save as provided in clause 14.1subclause 19.1 (Records and Certificates)) destroy all cancelled Notes and Notes, Coupons and furnish the Issuer and the Guarantor with a certificate of destruction containing written particulars of the serial identification numbers of the Notes (as applicable) and the number by maturity date of Coupons so destroyed.
