Cancellation of RSU upon Other Termination of Employment. If, prior to the Retirement Date, the Employee's status as an employee of the Company or any of its subsidiaries is voluntarily or involuntarily terminated other than by reason of the death or Disability of the Employee, then the RSU and all related Dividend Equivalents shall automatically be cancelled as of the close of business on such employment termination date.

If, prior to the Retirement Dateredemption in full of the RSU, the Employee's status as an a full-time employee of the Company or any of its subsidiaries is voluntarily or involuntarily terminated for Cause, or is voluntarily terminated at age 61 or younger for any reason other than by reason Good Reason, death, Permanent Disability or an Approved Leave of Absence, then, unless the death or Disability of Committee shall determine otherwise prior to the EmployeeEmployment Termination Date, then the RSU and all related Dividend Equivalents shall automatically be cancelled as of the close of business on such employment termination datethe Employment Termination Date.
