Common use of Cancellation of Treasury Stock and Mergerco Owned Stock Clause in Contracts

Cancellation of Treasury Stock and Mergerco Owned Stock. At the Effective Time, automatically by virtue of the Merger and without any further action on the part of Mergerco, the Company or any holder of any share of capital stock of the Company or Mergerco, each share of Company Common Stock issued and held immediately prior to the Effective Time in the Company’s treasury and each share of Company Common Stock that is owned by Mergerco or any of the Affiliated Stockholders (the “Cancelled Shares”) will automatically be cancelled and retired and will cease to exist, and no consideration will be delivered in exchange therefor.
