Common use of Cancellation of Treasury Stock and Parent Clause in Contracts

Cancellation of Treasury Stock and Parent. Owned Stock. Each share of Company Common Stock that is owned directly by the Company, any Subsidiary of the Company, Parent or Sub shall no longer be outstanding and shall automatically be canceled and retired and shall cease to exist, and no other consideration shall be delivered or deliverable in exchange therefor.

Cancellation of Treasury Stock and Parent. Owned Stock. Each issued and outstanding share of common stock, par value $.001 per share, of the Company ("Company Common Stock Stock") that is owned directly by the Company, any Subsidiary of the Companya Company Subsidiary, Parent or Merger Sub shall no longer be outstanding and or held in the treasury of the Company (collectively, "Excluded Shares") shall automatically be canceled and retired and shall cease to exist, and no other consideration shall be delivered or deliverable in exchange therefor.

Each share of Company Common Stock Share that is owned directly by the Company, any Subsidiary of the Company, Parent or Merger Sub (or any direct or indirect wholly-owned subsidiary of Parent or Merger Sub) shall no longer be outstanding and shall automatically be canceled and retired and shall cease to exist, and no cash, Parent Common Stock or other consideration shall be delivered or deliverable in exchange therefor.

Each share of Company Common Stock that is owned directly by the Company, any Subsidiary of the CompanyCompany Subsidiary, Parent or Sub shall no longer be outstanding and Buyer (other than Common Stock received pursuant to Section 3.01(a), above) shall automatically be canceled cancelled and retired and shall cease to exist, and no other consideration shall be delivered or deliverable in exchange therefor.
