Common use of Cancellation or Adjustment of Global Note Clause in Contracts

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferred, redeemed, repurchased or cancelled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and cancelled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary for such Global Note), by the Trustee or the Depositary, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferredtransferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, such Global Note shall be returned by the Depositary to the Trustee Security Registrar for cancellation or retained and cancelled canceled by the TrusteeSecurity Registrar. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar Trustee (if it is then the Depositary Custodian for such Global Note)) with respect to such Global Note, by the Trustee or the DepositaryCustodian, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in a the Global Note is exchanged for Definitive Registered certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the principal amount Principal Amount at Maturity of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Registrar (if it is then the Depositary Notes Custodian for such Global Note with respect to such Global Note), by the Trustee or the Depositary, to reflect such reduction.

At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferred, redeemed, repurchased or cancelled, such Global Note shall be returned by the Depositary to the Trustee an Authenticating Agent for cancellation or retained and cancelled by the Trusteean Authenticating Agent. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary for such Global Note)) with respect to such Global Note, by the Trustee or the Depositary, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Notecertificated Notes pursuant to Section 2.4, redeemed, repurchased purchased or cancelledcanceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary Notes Custodian for such Global Note)) with respect to such Global Note, by the Trustee or the DepositaryNotes Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferred, redeemed, repurchased or cancelledcanceled, such Global Note shall be returned by the Depositary Depository to the Trustee for cancellation or retained and cancelled canceled by the Trustee. Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferred, redeemed, repurchased or cancelled, such Global Note shall be returned by the Depositary to the Trustee an Authentication Agent for cancellation or retained and cancelled by the Trusteean Authentication Agent. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary for with respect to such Global Note), by the Trustee or the DepositaryTrustee, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a particular Global Note have either been exchanged for Definitive Registered Notes, transferred, Notes or a particular Global Note has been redeemed, repurchased or cancelledcanceled in whole and not in part, each such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and cancelled canceled by the TrusteeTrustee in accordance with Section 2.11 of this Indenture. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, or transferred to a Person who will take delivery thereof in exchange for an the form of a beneficial interest in another Global Note, redeemed, repurchased Note or cancelledfor Definitive Notes, the principal amount of Notes represented by such Global Note shall be reduced accordingly; and an adjustment if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Note, such other Global Note shall be made on the books and records of the Registrar (if it is then the Depositary for such Global Note), by the Trustee or the Depositary, to reflect such reductionincreased accordingly.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferredtransferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and cancelled canceled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the principal amount of Second Lien Exchangeable Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary Custodian for such Global Note)) with respect to such Global Note, by the Trustee Registrar or the DepositaryCustodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Certificated Notes, transferred, redeemed, repurchased or cancelledcanceled, such Global Note shall be 132 returned by the Depositary to the Trustee for cancellation or retained and cancelled and returned to the Company by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Registrar (if it is then the Depositary for with respect to such Global Note), by the Trustee or the DepositaryNotes Custodian, to reflect such reduction.
