Common use of Cancellation or Adjustment of Global Note Clause in Contracts

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar or the Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceledcancelled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled cancelled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar Trustee (if it is then the Securities Custodian for such Global Note) with respect to such Global Note, by the Security Registrar Trustee or the Securities Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the U.S. Trustee for cancellation or retained and canceled by the U.S. Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar U.S. Trustee (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar U.S. Trustee or the Custodian, to reflect such reduction.

At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the Trustee Security Registrar for cancellation or retained and canceled by the TrusteeSecurity Registrar. At any time prior to such cancellation, if any beneficial interest in a the Global Note is exchanged for Definitive certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceledcancelled, the principal amount Principal Amount at Maturity of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Security Registrar (if it is then the Notes Custodian for such Global Note) Note with respect to such Global Note, by the Security Registrar or the Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled by the Trustee. Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notetransferred, Appendix-8 redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar Trustee (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar Trustee or the Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased purchased or canceled, such Global Note shall be returned by the Depositary to the Trustee Depository for cancellation or retained and canceled by the TrusteeTrustee or its Authenticating Agent, as applicable. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notecertificated Notes pursuant to Section 2.4, redeemed, repurchased purchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar (if it is then the Notes Custodian for such Global Note) with respect to such Global Note, by the Security Registrar Trustee or the Notes Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled by the Trustee. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceled, such Global Note shall be returned by the Depositary to the 509335-1996-14206-13941291 Trustee for cancellation or retained and canceled by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar Trustee (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar Trustee or the Custodian, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar or the Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a particular Global Note have either been exchanged for Definitive Notes, transferred in exchange for an interest in another Notes or a particular Global Note, Note has been redeemed, repurchased or canceledcanceled in whole and not in part, each such Global Note shall be returned by the Depositary to the Trustee for cancellation or retained and canceled by the TrusteeTrustee in accordance with Section 2.11 of this Indenture. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Notes, or transferred to a Person who will take delivery thereof in exchange for an the form of a beneficial interest in another Global Note, redeemed, repurchased Note or canceledfor Definitive Notes, the principal amount of Notes represented by such Global Note shall be reduced accordingly; and an adjustment shall be made on if the books and records beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of the Security Registrar (if it is then the Custodian for such Global Note) with respect to such a beneficial interest in another Global Note, by the Security Registrar or the Custodian, to reflect such reductionother Global Note shall be increased accordingly.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceledcancelled, such Global Note shall be returned by the Depositary to the Trustee an Authentication Agent for cancellation or retained and canceled cancelled by the Trusteean Authentication Agent. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceledcancelled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar or the CustodianTrustee, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in a Global Note have either been exchanged for Definitive Certificated Notes, transferred in exchange for an interest in another Global Notetransferred, redeemed, repurchased or canceled, such Global Note shall be 132 returned by the Depositary to the Trustee for cancellation or retained and canceled cancelled and returned to the Company by the Trustee. At any time prior to such cancellation, if any beneficial interest in a Global Note is exchanged for Definitive Certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or canceled, the principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made on the books and records of the Security Registrar (if it is then the Custodian for such Global Note) with respect to such Global Note, by the Security Registrar Trustee or the Notes Custodian, to reflect such reduction.
