CanniMed Financial Information. The consolidated financial statements and related notes of CanniMed and its subsidiaries contained or incorporated by reference in the Registration Statement, Prospectuses and Disclosure Package (the “CanniMed Financial Statements”) have been prepared in accordance with IFRS, applied on a consistent basis throughout the periods specified, except as may be expressly stated in the notes thereto, contain no misstatements of material fact and present fairly, in all material respects, the financial condition of CanniMed on a consolidated basis as at the date thereof and the results of the operations and cash flows of CanniMed on a consolidated basis for the periods then ended and contain and reflect adequate provisions or allowance for all reasonably anticipated liabilities, expenses and losses of CanniMed on a consolidated basis that are required to be disclosed in such financial statements. There are no material liabilities of CanniMed or any of its subsidiaries whether direct, indirect, absolute, contingent or otherwise required to be disclosed in the CanniMed Financial Statements which are not disclosed or reflected in the CanniMed Financial Statements except those disclosed in the Registration Statement, Prospectuses and Disclosure Package.
