Common use of Cap of liability Clause in Contracts

Cap of liability. Except for liability arising under Section 5 (Fees and Payment) and Section 7 (Confidentiality),in no event shall either party’s aggregate, cumulative liability arising out of or related to this Agreement, whether in contract, tort or under any other theory of liability, exceed the total amount of the Fees paid by Customer hereunder in the twelve (12) months preceding the incident.
