Common use of Capacity as Stockholder Clause in Contracts

Capacity as Stockholder. Stockholder signs this Support Agreement solely in Stockholder’s capacity as a stockholder of the Company, and not in any other capacity, including, if applicable, as a director (including “director by deputization”), officer or employee of the Company or any of its Subsidiaries. Nothing herein shall be construed to limit or affect any actions or inactions by Stockholder or any representative of Stockholder, as applicable, serving as a director of the Company or any Subsidiary of the Company, acting in such Person’s capacity as a director of the Company or any Subsidiary of the Company.

Capacity as Stockholder. Nothing herein shall in any way restrict a Stockholder that is director or officer of the Company in the taking of any actions (or any Subsidiary failure to act) in his or her capacity as a director or officer of the Company if such action (or failure to act) would be inconsistent with the exercise of his or her fiduciary duties as a director or officer of the Company.

Nothing herein shall be construed to limit or affect any actions or inactions by such Stockholder or any representative of such Stockholder, as applicable, serving as a director director, officer or employee of the Company or any Subsidiary of the Company, acting in such Person’s capacity as a director director, officer or employee of the Company or any Subsidiary of the Company.
