Common use of Capacity; Authorization Clause in Contracts

Capacity; Authorization. The Shareholder has the power and capacity and has received all requisite approvals to execute and deliver this Agreement and to perform its obligations hereunder.

The Shareholder has the power and requisite capacity and has received all requisite approvals authority to execute and deliver this Agreement Agreement, to perform the Shareholder’s obligations hereunder and to perform its obligations hereunderconsummate the transactions contemplated hereby. The execution and delivery of this Agreement by the Shareholder and the consummation by the Shareholder of the transactions contemplated hereunder have been authorized by the directors of the Shareholder, if applicable, and no other proceeding on the part of the Shareholder is necessary to authorize this Agreement or the transactions contemplated hereby.
