Common use of Capital Account of Transferee Clause in Contracts

Capital Account of Transferee. A transferee of all or part of an interest in the capital and profits of the Partnership shall succeed to the Capital Account of the transferor to the extent that such Capital Account relates to the transferred interest.

Capital Account of Transferee. A transferee Upon the valid transfer of all economic rights, whether or not as part of an interest in the capital and profits transfer of the Partnership entire membership interest, the transferee shall succeed to the Capital Account corresponding portion of the transferor to capital account of the extent that such Capital Account relates to the transferred interesttransferor.
