Capital Changes; Pledges. Neither the Company nor any Subsidiary shall issue or sell any shares of its capital stock, any securities convertible into shares of its capital stock or any Voting Debt or become obligated with respect to any Issuance Obligation, and the Company shall not sell, transfer, pledge or otherwise encumber any capital stock of any Subsidiary.
