As of January 14, 1997, the number of outstanding units of partnership interest in ERP Operating Partnership consists of (a) 51,155,813 units of general partnership interest, (b) 7,857,933 units of limited partnership interest, (c) 6,120,000 9-3/8% Series A Cumulative Redeemable Preference Units, (d) 500,000 9-1/8% Series B Cumulative Redeemable Preference Units, and (e) 460,000 9-1/8% Series C Cumulative Redeemable Preference Units. Except for the units of limited partnership interest, all of the units of partnership interest in ERP Operating Partnership are owned by EQR free and clear of all Liens.
