Capitalized Stock Clause Samples

Capitalized Stock. The authorized capital stock of Corporation consists of 50,000 shares of common stock, no par value per share, of which the only issued and outstanding shares are the 1000 shares held by Sellers on the date hereof. All of the issued and outstanding shares of Corporation will be sold by Sellers to Buyer in consideration for this Agreement and such shares are validly issued and outstanding, fully paid and non-assessable. Except as provided for herein, there are no commitments for the purchase or sale of, and no options, warrants or other rights to subscribe for or purchase, any stock or other securities of Corporation.
