Care, Surrender and Restoration of the Subleased Premises. (a) Without limiting any other provision of this Sublease or the Prime Lease, as the case may be, but subject to Section 1(b) of this Sublease, Sublessee shall take good care of the Subleased Premises, suffer no waste or injury thereto and shall comply with all laws, orders and regulations applicable to the Subleased Premises, the Building and Sublessee’s use or manner of use thereof, which are imposed on Sublessor, as tenant under the Prime Lease in connection with the Subleased Premises and/or the Building. (b) Upon the Expiration Date or the earlier termination of the Term, Sublessee shall quit and surrender the Subleased Premises to Sublessor, broom clean, in good order and condition, reasonable wear and tear excepted and Sublessee shall remove all of its property therefrom and perform any Restoration Work required by reason of Section 14.05 of the Prime Lease with respect to Specialty Installations made by Sublessee and remove any installation or improvement required by Section 14.06 of the Prime Lease and restore any damage caused by such removal. (c) If the Expiration Date or the earlier termination of the Term falls on a Sunday, this Sublease shall expire at noon on the immediately preceding Saturday unless such Saturday is a legal holiday, in which case the Term shall expire at noon on the first business day immediately preceding such Saturday. Sublessee shall observe and perform each of the covenants contained in this Sublease and Sublessee’s obligations hereunder shall survive the Expiration Date or earlier termination of this Sublease.

Care, Surrender and Restoration of the Subleased Premises. In no event, however, shall Sublessee have any right with respect to the elevator and atrium lobby area of the Subleased Premises either (i) to make any Alteration, addition, modification, decoration or fixturing, or (ii) to use it for any Sublessee purpose whatsoever, except as set-forth herein.

(a) of this Sublease, Sublessee Subtenant shall take good care of the Subleased Premises, suffer no waste or injury thereto thereto. Subject to Article 7 of the Prime Lease, all fixtures, paneling, partitions, railings and like installations, installed in the Subleased Premises at any time, either by Subtenant or by Sublandlord on Subtenant’s behalf (“Subtenant’s Alterations”) shall, upon installation, become the property of Sublandlord and shall comply with all lawsremain upon, orders and regulations applicable be surrendered with, the Subleased Premises unless Sublandlord, by notice to Subtenant prior to installation of Subtenant’s Alterations, elects to relinquish Sublandlord’s right to any fixtures, paneling, partitions, railings or like installations which may be installed by Subtenant, and to have such Subtenant’s Alterations, or any portion thereof, removed by Subtenant, in which event, the same shall be removed from the Subleased Premises by Subtenant on or prior to the Expiration Date at Subtenant’s expense. Nothing in this subsection (b) shall be construed to give Sublandlord title to, or prevent Subtenant’s removal of, trade fixtures, movable office furniture, furnishings and equipment, but upon removal of any such from the Subleased Premises or upon removal of other installations as may be required by Sublandlord, Subtenant shall immediately and at its expense, repair and restore the Subleased Premises to the condition existing prior to the installation and repair any damage to the Subleased Premises, Premises or the Building and Sublessee’s use or manner of use thereofdue to such removal, which are imposed on Sublessor, so as tenant under the Prime Lease in connection with to restore the Subleased Premises and/or to the Buildingcondition required under subsection 7(b)of this Section 4.
(b) Upon the Expiration Date or the earlier sooner termination of the Term, Sublessee Subtenant shall quit and surrender the Subleased Premises to SublessorSublandlord, broom clean, in good order and condition, reasonable ordinary wear and tear excepted tear, damage by fire, and Sublessee other casualty excepted, and Subtenant shall remove all of its property therefrom and perform any Restoration Work required by reason of Section 14.05 shall repair all damage resulting from such removal or its use of the Subleased Premises. In the event Subtenant does not do so, Prime Lease with respect to Specialty Installations made by Sublessee Landlord or Sublandlord may, at its option, remove the same (and remove repair any installation or improvement required by Section 14.06 of the Prime Lease damage occasioned thereby and restore any damage caused by the Subleased Premises as aforesaid) and dispose thereof, or warehouse the same, and Subtenant shall pay the cost of such removal.
(c) , repair, restoration, delivery or warehousing to Sublandlord, or Sublandlord may treat said property as having been conveyed to Sublandlord, with this Sublease constituting a xxxx of sale therefor, without further payment or credit by Sublandlord to Subtenant. All personal property in or about the Subleased Premises owned by Subtenant or any other party shall be at the risk of Subtenant only, and Sublandlord shall not be liable for any loss or damage thereto or theft thereof. The obligations of Subtenant as provided in this section shall survive the expiration or earlier termination of this Sublease. If the Expiration Date or the earlier sooner termination of the Term of this Sublease falls on a Sunday, this Sublease shall expire at noon midnight on the immediately preceding Saturday unless such Saturday is it be a legal holiday, in which case the Term it shall expire at noon midnight on the first preceding business day immediately preceding such Saturday. Sublessee shall observe and perform each of the covenants contained in this Sublease and Sublessee’s obligations hereunder shall survive the Expiration Date or earlier termination of this Subleaseday.

Care, Surrender and Restoration of the Subleased Premises. (b) On or before the Expiration Date, Sublessee shall remove from the Subleased Premises at its sole expense (i) all of its personal property, and (ii) upon the demand of Sublessor, prior to the Expiration Date, any improvements and/or alterations that Sublessee has made to the Subleased Premises. In the absence of such a demand, all such improvements and alterations shall become the property of Sublessor, subject, however, to the terms of the Lease. Upon removal of Sublessee’s property from the Subleased Premises and/or upon removal of such improvements and alterations, Sublessee shall, at its sole expense, promptly repair and restore the Subleased Premises to the condition existing prior to the placement of such personal property upon the Subleased Premises and/or the Building.
(b) installation of such improvements and alterations, and repair any damage to the Subleased Premises and/or the building related to such removals, so as to restore the Subleased Premises to the condition required under Article 16 of the Lease. All property, permitted or required to be removed by Sublessee upon the Expiration Date, remaining on the Subleased Premises after the Expiration Date shall be deemed abandoned, and may, at the election of Sublessor, either be retained as Sublessor’s property or may be removed from the Subleased Premises by Sublessor, at Sublessee’s expense. Any reasonable expenses shall be paid by Sublessee to Sublessor upon demand therefor, and shall be deemed Rent collectible by Sublessor in the same manner and with the same remedies as though such sums constituted Rent reserved hereunder. Upon the Expiration Date or the earlier termination of the TermDate, Sublessee shall quit and surrender the Subleased Premises to SublessorSublessor in the condition such premises were in on the Commencement Date, broom clean, in good order and condition, reasonable excepting ordinary wear and tear excepted and Sublessee shall remove all of its property therefrom and perform any Restoration Work required damage by reason of Section 14.05 of the Prime Lease with respect to Specialty Installations made by Sublessee and remove any installation or improvement required by Section 14.06 of the Prime Lease and restore any damage caused by such removalcasualty/condemnation.
(c) If the Expiration Date or the earlier termination of the Term falls on a Sunday, this Sublease shall expire at noon on the immediately preceding Saturday unless such Saturday is a legal holiday, in which case the Term shall expire at noon on the first business day immediately preceding such Saturday.
