Common use of Carey Financial Corporation Clause in Contracts

Carey Financial Corporation. Securities. Any stock, sharxx (xther than currently outstanding Shares and subsequently issued shares of common stock of the Company), voting trust certificates, bonds, debentures, notes or other evidences of indebtedness, secured or unsecured, convertible, subordinated or otherwise or in general any instruments commonly known as "securities" or any certificate of interest, shares or participation in temporary or interim certificates for receipts (or, guarantees of, or warrants, options or rights to subscribe to, purchase or acquire any of the foregoing), which subsequently may be issued by the Company. Selected Dealer Fee. A due diligence and management fee payable to Selected Dealers by the Company (through the Sales Agent) of up to one and one-half percent of the price of each Share sold by those Selected Dealers to which the Sales Agent agrees to pay such due diligence and management fee.
