In the event there has not been a Disposition of the Facility located in Carmel, New York prior to the one year anniversary of the Effective Date, deliver to the Collateral Agent the Real Property Deliverables with respect to such Facility within 45 days of the one year anniversary of the Effective Date (or such later date as agreed to in writing by the Collateral Agent in its sole discretion).
