Carrier Representations. Carrier hereby represents to Shipper as follows: (a) This Agreement and all documents executed by Carrier required hereby are duly authorized, executed, and delivered by Carrier, are legal, valid, and binding obligations of Carrier, and do not violate any provisions of any agreement to which Carrier is a party or to which it is subject and do not violate any duties to which Carrier is subject. (b) There are no pending, or to Carrier’s knowledge, threatened actions, suits, arbitrations, claims or proceedings, at law or in equity, that could materially and adversely affect the development, ownership or operation of the Knight Warrior Pipeline.
Carrier Representations. ▇▇▇▇▇▇▇ represents that it is fit, willing, and able to provide the services contemplated by this Agreement. Carrier further represents and warrants that it is presently in compliance and shall, at all times during the term of this Agreement, remain in compliance, with all applicable laws and ordinances of all applicable governmental entities (federal, state, and local) having jurisdiction over any of its operations or the services to be provided under this Agreement. Carrier represents and warrants that it will remain in compliance with all hours-of-service regulations at all times and that it is solely responsible for compliance with such regulations. Carrier represents and warrants that its insurance policies do not have any exclusion that apply to the cargo being transported pursuant to this Agreement, and that such policies do not exclude coverage for bodily injury or death. Carrier, at its cost and expense, shall provide motor vehicles and equipment for use in the services to be performed hereunder that are adequate and satisfactory to C&K. Carrier shall maintain such vehicles and equipment in good and roadworthy condition, both as to operation and appearance. Carrier represents that all vehicles and equipment used in connection with the services to be performed hereunder meet, and ▇▇▇▇▇▇▇ will maintain such vehicles and equipment in a manner that complies with, all applicable operating condition and safety equipment requirements of the Department of Transportation ("DOT"). Carrier, at its own cost and expense, shall employ in the operation of such vehicles and equipment, fully qualified personnel, and shall prevent the operation of any such vehicles or equipment by unqualified personnel. Carrier Representations. Carrier is a contract motor carrier, insured and authorized to transport shipments in interstate commerce under the Federal Highway Administration with docket numbers and USDOT numbers as set forth on the signed load confirmation executed between Carrier and Broker. If Carrier is an entity other than an individual, Carrier represents and warrants that it is duly organized and in good standing and holds all requisite legal authority to conduct its business as it is currently conducted. Carrier Representations. During the term of this Agreement, Carrier represents and warrants that it: a. Shall transport the property under its own operating authority and subject to the terms of this Agreement. b. Makes the representations herein for the purpose of inducing Broker to enter into this Agreement. c. Agrees that a shipper’s insertion of ▇▇▇▇▇▇’s name as the carrier on a bill of lading shall be for the shipper’s convenience only and shall not change Broker’s status as a property broker or Carrier’s status as a motor carrier. d. Will not re-broker, co-broker, subcontract, assign, interline, or transfer the transportation of shipments hereunder to any other person or entity conducting business under a different operating authority, without prior written consent of Broker. If Carrier breaches this provision, Broker shall have the right of paying the monies it owes Carrier directly to the delivering carrier, in lieu of payment to Carrier. In the event any shipment is delayed or Carrier otherwise fails to complete any trip undertaken by it, and Broker must arrange for the completion of such trip with another carrier, Carrier shall be responsible for reasonable and necessary costs, charges, fees, and expenses related thereto. e. Is in, and shall maintain compliance during the term of this Agreement, with all applicable federal, state, provincial, and local laws relating to the provision of its services including, but not limited to those requirements in the jurisdiction of operation that are equivalent to those set forth herein: transportation of Hazardous Materials (including the licensing and training of Haz Mat qualified drivers), as defined in 49 C.F.R. §172.800, §173, and §397 et seq. to the extent that any shipments hereunder constitute Hazardous Materials; security regulations; owner/operator lease regulations; loading and securement of freight regulations; implementation and maintenance of driver safety regulations including, but not limited to, hiring, controlled substances and alcohol testing, and hours of service regulations, federal and state labor regulations and OSHA; sanitation, temperature, and contamination requirements for transporting food, perishable, and other products, qualification and licensing and training of drivers; implementation and maintenance of equipment safety regulations; maintenance and control of the means and m...
