Common use of CASUALTY OCCURRENCE WITH RESPECT TO AN ENGINE Clause in Contracts

CASUALTY OCCURRENCE WITH RESPECT TO AN ENGINE. Upon a Casualty Occurrence with respect to an Engine only, Lessee shall give Lessor prompt written notice thereof and shall, within forty-five (45) days after such occurrence, convey to Lessor, as replacement for the Engine suffering a Casualty Occurrence, title to a Replacement Engine. Each Replacement Engine shall be free of all Liens (except Permitted Liens). Upon full compliance by Lessee with the terms of this paragraph, Lessor will transfer to Lessee title to the Engine which suffered the Casualty Occurrence. Prior to or at the time of any such conveyance, Lessee, at its own expense, will promptly (i) furnish Lessor with a full warranty xxxx of sale, in form and substance reasonably satisfactory to Lessor, with respect to such Replacement Engine; (ii) cause a supplement hereto, in form and substance reasonably satisfactory to Lessor, subjecting such Replacement Engine to this Lease, to be duly executed by Lessee, and recorded pursuant to applicable Law; (iii) furnish Lessor with such legal opinions and other documents as Lessor may reasonably request in connection with the consummation of the transactions contemplated by this Section 10(b), in each case in form and substance satisfactory to Lessor. Upon full compliance by Lessee with the terms of this Section 10(b), Lessor will transfer to Lessee all of the right, title and interest in the Engine which suffered the Casualty Occurrence, and such Replacement Engine shall be deemed an "Engine" as defined herein.

CASUALTY OCCURRENCE WITH RESPECT TO AN ENGINE. Upon a Casualty Occurrence with respect to an Engine onlyunder circumstances in which there has not occurred a Casualty Occurrence with respect to the Airframe, Lessee shall forthwith (and in any event within two (2) days after such Casualty Occurrence) give Lessor prompt written notice thereof and shall, within forty-five (45) days after such occurrence, convey to Lessor, as replacement for the Engine suffering a Casualty Occurrence, title to a Replacement Engine. Each Replacement Engine shall be free of all Liens (except Permitted Liens)those Liens which are permitted by paragraphs (a) and (b) of Section 14 hereof) and shall be in as good an operating condition and shall have a value and utility at least equal to, and shall have at least the number of Flight Hours or cycles remaining on the Engine being replaced, assuming the Engine being replaced was in the condition and repair required by the terms hereof immediately prior to the Casualty Occurrence, and shall be compatible with the remaining installed Engines. Upon full compliance by Lessee with the terms of this paragraph, Lessor will transfer to Lessee title to the Engine which suffered the Casualty Occurrence. Prior to or at the time of any such conveyance, Lessee, at its own expense, will promptly (i) furnish Lessor with a full warranty xxxx of sale, in form and substance reasonably satisfactory to Lessor, with respect to such Replacement Engine; (ii) cause a supplement hereto, in form and substance reasonably satisfactory to Lessor, subjecting such Replacement Engine to this Lease, to be duly executed by Lessee, and recorded pursuant to applicable Law; (iii) furnish Lessor with such legal opinions evidence of title to such Replacement Engine and other documents of compliance with the insurance provisions of Section 12 hereof with respect to such Replacement Engine as Lessor may reasonably request in connection request; (iv) furnish Lessor with the consummation an opinion of the transactions contemplated by this Section 10(b), in each case in form and substance satisfactory to Lessor. Upon full compliance by Lessee with the terms of this Section 10(b), Lessor will transfer to Lessee all of the right, title and interest in the Engine which suffered the Casualty Occurrence, and such Replacement Engine shall be deemed an "Engine" as defined herein.Lessee's

Each Replacement Engine shall be free of all Liens (except Permitted Liens)those Liens which are permitted by Section 14 hereof) and shall be in as good an operating condition and shall have a value and utility at least equal to, and shall have a substantially equivalent number of cycles remaining on its life limited parts as the Engine being replaced, assuming the Engine being replaced was in the condition and repair required by the terms hereof immediately prior to the Casualty Occurrence and shall be compatible with the remaining installed Engine. Upon full compliance by Lessee with the terms of this paragraph, Lessor will cause the Owner to transfer to Lessee all of Owner's right, title and interest in and to the Engine which suffered the Casualty OccurrenceOccurrence free of any Lessor's Liens. Prior to or at the time of any such conveyance, Lessee, at its own expense, will promptly (i) furnish Lessor with a full warranty xxxx bill of salesalx xxnveying title free and clear of all Liens except Lessor Liens, in form and substance reasonably satisfactory to Lessor, with respect to such Replacement Engine; (ii) cause a supplement hereto, in form and substance reasonably satisfactory to Lessor, subjecting such Replacement Engine to this Lease, to be duly executed by Lessee, and recorded pursuant to applicable Law; (iii) furnish Lessor with such legal opinions evidence of title to such Replacement Engine and other documents of compliance with the insurance provisions of Section 12 hereof with respect to such Replacement Engine as Lessor may reasonably request in connection request; (iv) furnish Lessor with the consummation an opinion of the transactions contemplated by this Section 10(b), in each case in form and substance satisfactory to Lessor. Upon full compliance by Lessee with the terms of this Section 10(b), Lessor will transfer to Lessee all of the right, title and interest in the Engine Lessee's counsel (which suffered the Casualty Occurrence, and such Replacement Engine counsel shall be deemed an "Engine" as defined herein.be

Upon a Casualty Occurrence with respect to an Engine only, Lessee shall give Lessor prompt written notice thereof and shall, within forty-five sixty (4560) days, but in no event later than ninety (90) days after the date of such occurrenceCasualty Occurrence, convey to Lessor, as replacement for the Engine suffering a Casualty Occurrence, title to a Replacement Engine. Each Replacement Engine shall be free of all Liens (except Permitted Liensthose Liens which are permitted by Section 14 hereof), shall be the same or better make and model, and shall be in as good an operating condition as the Engine being replaced, assuming the Engine being replaced was in the condition and repair required by the terms hereof immediately prior to the Casualty Occurrence. Upon full compliance by Lessee with the terms of this paragraph, Lessor will transfer to Lessee title to the Engine which suffered the Casualty Occurrence. Prior to or at the time of any such conveyance, Lessee, at its own expense, will promptly promptly: (i) furnish Lessor with a full warranty xxxx bxxx of sale, in form and substance reasonably satisfactory to Lessor, with respect to such Replacement Engine; (ii) cause a supplement further Lease Supplement hereto, in form and substance reasonably satisfactory to Lessor, subjecting such Replacement Engine to this Lease, to be duly executed by Lessee, and recorded pursuant to applicable Applicable Law; (iii) furnish Lessor with such legal opinions evidence of title to such Replacement Engine and other of compliance with the insurance provisions of Section 12 hereof with respect to such Replacement Engine as Lessor may reasonably request; (iv) furnish Lessor with an opinion of Lessee's counsel acceptable to Lessor and any Lessor Lender to the effect that title to such Replacement Engine has been duly conveyed to Lessor, free and clear of all Liens, that such Replacement Engine is duly leased hereunder and that such Replacement Engine is duly subjected to the Operative Agreements and the Lien of the Lessor Lender's mortgage or security agreement; (v) furnish Lessor with such documents as Lessor may reasonably request in connection with the consummation of the transactions contemplated by this Section 10(b11(b), in each case in form and substance satisfactory to Lessor; (vi) furnish such financing statement covering the Replacement Engine as may be reasonably requested by Lessor; and (vii) furnish Lessor with a report by an independent power plant engineer, acceptable to Lessor, that the Replacement Engine meets the requirements of this Lease. Upon full compliance by Lessee with the terms of this Section 10(b11(b), Lessor will transfer to Lessee all of the right, title and interest in the Engine Engine, free and clear of Lessor's Liens, which suffered the Casualty OccurrenceOccurrence and which was originally leased to Lessee. For all purposes hereof, and each such Replacement Engine shall be deemed part of the property leased hereunder, shall be deemed an "Engine" as defined hereinherein and shall be deemed part of the Aircraft. No Casualty Occurrence covered by this Section 11(b) shall result in any reduction in Rent.
