Casualty Termination Affect. Upon a Casualty Termination (a) all fees and other charges payable by Vaxcyte under this CMSA shall be apportioned as of the date of the Casualty and any amounts paid by Vaxcyte for the period following the Casualty shall be promptly refunded by Lonza to Vaxcyte and (b) all rights and obligations of the Parties hereunder shall cease and terminate, except for any liabilities of a Party which accrued prior to the Casualty or obligations that survive any termination of this CMSA.
