CAUSE OR VOLUNTARY TERMINATION BY EMPLOYEE. If this Agreement shall be terminated either by the Company for Cause or Voluntary Termination by Employee, the Company shall pay to the Employee: (i) payment in accordance with regular payroll procedures of Employee's Base Salary (as in effect on the Date of Termination) due through the Date of Termination; and (ii) all benefits under the Company's benefit plans and programs in which Employee participates, subject to the terms and conditions of such plans. Employee's participation in all Company benefit plans and programs shall cease as of the Date of Termination subject to the terms and conditions of the governing plan documents of such plans.
