Cause; Resignation Other than for Good Reason. If the Executive incurs a Separation from Service because the Employer terminates the Executive’s employment for Cause or the Executive terminates his employment other than for Good Reason, the Employer shall pay to the Executive the Accrued Obligations within thirty days after the Executive’s Separation from Service (or any shorter period prescribed by law) (the “Termination Payments”). Any outstanding equity awards, including without limitation the LTIP Units, shall be treated in accordance with the terms of the governing plan and award agreement.
