Common use of CBA Rights Clause in Contracts

CBA Rights. The Buyer and/or one or more of its Affiliates shall have completed simultaneously with or prior to the Closing the acquisition of CBA Rights to market, promote, distribute and sell Covered Beverages (as defined in the Distribution APA) and Related Products (as defined in the Distribution APA) in the principal portions of the distribution territory set forth in the Distribution APA that are served by the Facility.

CBA Rights. The Buyer and/or one or more of its Affiliates shall have completed simultaneously with or prior to the Initial Closing the acquisition of CBA Rights to market, promote, distribute and sell Covered Beverages (as defined in the Distribution APA) and Related Products (as defined in the Distribution APA) in the principal portions of the distribution territory set forth in the Distribution APA that are served by the Initial Closing Facility.

The Buyer and/or one or more of its Affiliates shall have completed simultaneously with or prior to the Final Closing the acquisition of CBA Rights to market, promote, distribute and sell Covered Beverages (as defined in the Distribution APA) and Related Products (as defined in the Distribution APA) in the principal portions of the distribution territory set forth in the Distribution APA that are served by the Final Closing Facility.

The Buyer and/or one or more of its Affiliates shall have completed simultaneously with or prior to the Final Closing the acquisition of CBA Rights to market, promote, distribute and sell Covered Beverages (as defined in the Distribution APA) and Related Products (as defined in the Distribution APA) in the principal portions of the distribution territory set forth in the Distribution APA that are served by the FacilityFinal Closing Facilities.
